Knowbly End User Agreement

2263256 Alberta Ltd., operating as Knowbly Group of Companies (“Knowbly,” “we,” “us,” or “our”) is a corporation registered in Alberta, Canada. By accessing our website and related online services at https://knowbly.ca and associated domains (the “Knowbly Platform”), you agree to these terms and conditions (the “Terms”). These Terms form a legally binding agreement between you and Knowbly.

1. Acceptance of Terms

By using the Knowbly Platform, you agree to be bound by these Terms. If you use the Knowbly Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Amendments

We may revise these Terms at any time by updating this page. The date of the last revision will be noted above. Continued use of the Knowbly Platform constitutes acceptance of the updated Terms.

3. Privacy

We collect and process personal information in accordance with our Privacy Policy, which forms part of these Terms. By using the Knowbly Platform, you consent to our use of your information as outlined in that policy.

4. Account Registration and Use

To access certain services or content, you must register an account and provide accurate, complete information. Your account and subscription are personal and non-transferable. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us promptly of any unauthorized use.

5. Subscriptions, Access, and Licensing

Knowbly offers access to online educational content and related services through various subscription plans, which may differ in duration, access limits, or available features. Upon registration and subject to payment of any applicable fees, you are granted a limited, non-exclusive, non-transferable license to access the Knowbly Platform solely for your own educational, non-commercial use, for the period of your active subscription.

We may update, modify, suspend, or discontinue features or access levels at our sole discretion. Information about current subscription plans and offerings is available on our website.

6. Service Content and User Conduct

All materials, content, and resources provided on or through the Knowbly Platform (including but not limited to text, graphics, software, and any interactive tools) are the property of Knowbly or its licensors. You may not copy, distribute, modify, publish, create derivative works from, or commercially exploit any part of the Knowbly Platform except as expressly permitted in writing.

You agree to use the Knowbly Platform only for lawful purposes and not to engage in any activity that:

  • Violates any law or regulation.

  • Infringes upon the rights of Knowbly or any third party.

  • Harms, threatens, or harasses others.

  • Attempts to gain unauthorized access to any part of the Knowbly Platform or related systems.

 

7. Platform Features, Beta Services, and Updates

Knowbly may, from time to time, make new features or functionalities available, including pilot, trial, or beta services. Access to any feature or content is at Knowbly’s discretion and may change or be discontinued without notice. Certain services may rely on automated or artificial intelligence technologies and are provided for educational support only, not as a substitute for professional advice.

 

8. User Content and Community Guidelines

Where the Knowbly Platform allows you to submit, post, or otherwise share content (including feedback, discussion, or other contributions), you grant Knowbly a non-exclusive, worldwide, royalty-free license to use, display, adapt, and distribute that content for the purpose of operating and improving the Platform. You agree not to post content that is unlawful, infringing, abusive, or otherwise objectionable, and you acknowledge that Knowbly may moderate or remove content at its discretion.

 

9. Data, Analytics, and Leaderboards

Knowbly may collect and process data regarding your use of the Platform for purposes including, but not limited to, performance analytics, progress tracking, and service improvement. In some cases, anonymized or pseudonymized data may be displayed in aggregate forms (such as achievement boards or rankings). By using the Platform, you consent to such data processing and display, unless you opt out in your privacy settings.

 

10. Disclaimer of Warranties

The Knowbly Platform and all content are provided “as is” and “as available,” without warranties of any kind, express or implied. Knowbly disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Knowbly does not guarantee that the Platform or any content is accurate, complete, or error-free, or that access will be uninterrupted.

 

11. Limitation of Liability

To the fullest extent permitted by law, Knowbly, its officers, employees, directors, agents, and affiliates are not liable for any indirect, incidental, consequential, punitive, or special damages arising out of or in connection with your use of (or inability to use) the Knowbly Platform. In no event will our aggregate liability exceed the amounts you have paid to us, if any, for access to the Platform.

 

12. Indemnification

You agree to indemnify and hold harmless Knowbly, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising from your use of the Platform or your violation of these Terms.

 

13. Termination

We reserve the right to suspend or terminate your account and access to the Knowbly Platform at our discretion, including for any violation of these Terms. Upon termination, your rights to use the Platform will cease immediately.

 

14. Governing Law

These Terms are governed by the laws of Alberta, Canada. Any disputes arising from or related to these Terms or the Knowbly Platform will be resolved by arbitration or courts in Alberta, Canada, unless otherwise required by law.

 

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

 

16. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced, constitute the entire agreement between you and Knowbly relating to your use of the Platform.
